Job Description

We are seeking a Senior Counsel to join our Global Securities and Corporate Governance Team. This position will report to our VP, Corporate & Assistant Secretary.

The Senior Counsel & Assistant Secretary will be responsible for managing complex corporate governance and legal entity management matters, including incorporations, dissolutions, reorganizations, M&A integration, and ongoing compliance with local legal requirements. This individual will oversee a team of paralegals responsible for global legal entity management, provide advice and counsel to the Company’s senior leaders on corporate law and governance matters, monitor corporate governance best practices and regulatory and legislative developments, and provide proactive advice on compliance with applicable standards and updates to policies. The role requires significant and active collaboration with others in Legal, Risk, Tax, Treasury, Controllership, HR, and Compliance as well as other functions within the Company, based across the globe.

This is a hybrid position. Employees in hybrid roles are expected to work from the office 3 set days a week (determined by leadership/site).

Qualifications

Basic Qualifications:
• 10 or more years of work experience with a Bachelor’s Degree or at least 8 years of work experience with an Advanced Degree (e.g. Masters/ MBA/JD/MD) or at least 3 years of work experience with a PhD

Preferred Qualifications:
• 12 or more years of work experience with a Bachelor’s Degree or 8-10 years of experience with an Advanced Degree (e.g. Masters, MBA, JD, MD) or 6+ years of work experience with a PhD
• Juris Doctor degree with 10 or more years or experience as in-house or outside counsel advising on corporate governance, legal entity management, securities, or transactional work.
• Admission to practice law in at least one U.S. jurisdiction.
• Support Controllership, Treasury, Tax, HR, and other legal and cross-functional teams to execute and manage key corporate projects, restructurings, and transactions.
• Ability to build and maintain strong collaborative relationships with business partners and push projects to completion.
• Have good judgment and strong analytical skills combined with a practical approach to problem solving.
• A high level of self-motivation, initiative, and ability to operate effectively as a collaborative team player across different functions, senior leaders, and external stakeholders.
• Ability to be responsive and flexible in a fast-paced and challenging environment.
• Ability to prioritize and manage multiple projects simultaneously.
• Strong organizational skills and meticulous attention to details.
• Excellent verbal and written communication skills.
• International experience preferred, ideally with experience in complex cross jurisdictional projects, especially within a global/international company.

Additional Information

Work Hours: Varies upon the needs of the department.

Travel Requirements: This position requires travel 5-10% of the time.

Mental/Physical Requirements: This position will be performed in an office setting. The position will require the incumbent to sit and stand at a desk, communicate in person and by telephone, frequently operate standard office equipment, such as telephones and computers.

U.S. APPLICANTS ONLY: The estimated salary range for a new hire into this position is 242,300.00 to 315,000.00 USD per year, which may include potential sales incentive payments (if applicable). Salary may vary depending on job-related factors which may include knowledge, skills, experience, and location. In addition, this position may be eligible for bonus and equity.
